In these conditions:
1.1 “Siga” shall mean Siga UK Limited or any subsidiary or associated company.
1.2 “Conditions” shall mean these terms and conditions in full.
1.3 “Customer” shall mean any company or person(s) ordering, or accepting a quotation for, Siga’s goods or services.
1.4 “Goods” shall mean any goods supplied or to be supplied by Siga UK Limited to the Customer.
1.5 “in writing” includes electronic communications.
1.6 “website” means www.sigafiltration.co.uk & www.filtersandmembranes.co.uk
2. Placing an Order
2.1 The Goods and Prices displayed on the website are an invitation to place an Order only and do not constitute an offer by us to you to purchase the Goods.
2.2 You should review your order and correct any incorrect details before confirming your order on the website.
2.3 Once we have received your order we will acknowledge it by email. This is not an order acceptance by Siga.
2.4 The order shall only be accepted when we despatch or make goods available for collection and confirm this in writing.
2.5 Please note that dispatch estimates are only estimates and they are not guaranteed dispatch times and should not be relied upon as such.
2.6 Order acknowledgement is not a guarantee of the availability of the Goods.
2.7 If you receive an order acknowledgement from us, details of which do not match the order you placed, you must advise our sales team immediately on email@example.com or +44 (0) 1276 415 761.
3.1 Payment can be made using Visa or Master Card or by electronic Transfer into our bank account. Details for wire transfer are available on request. Please contact firstname.lastname@example.org or +44 (0) 1276 415 761.
3.2 Payment by any credit card or debit card is subject to authorisation by the credit card issuer when the Order is placed. If such authorisation is refused to Siga, Siga will not be liable for any delay or non-delivery of the Goods and the Contract will be deemed to be cancelled.
3.3 In case of payment by wire transfer, order will not be processed until cleared funds reach Siga’s account
3.4 Where Goods have been incorrectly priced on the website Siga will, at Siga’s discretion, either contact the Customer for instructions before dispatching the Goods, or reject the Order and notify the Customer of such rejection. For the avoidance of doubt, Siga is under no obligation to supply the Goods at the incorrect price.
3.5 All prices on the website exclude VAT and Carriage/Freight. VAT will be added for UK customers at the current rate at checkout.
3.6 Where order value is less than £40.00, Siga reserves the right to make an additional charge equal to the value of difference.
3.7 Siga reserves the right to make an additional charge to cover additional shipping costs including, without limitation, direct shipments from the manufacturer or any specialised packaging.
3.8 Siga may invoice the Customer at the earlier of the following dates:
i) The date the goods are shipped.
ii) The date the goods are ready for shipment but are held pending instruction from the Customer.
4. UK Delivery
4.1 Delivery dates are estimated only and without commitment by or obligation on the part of Siga. The Customer shall not be entitled to cancel any order or to delay or refuse payment should delivery be made after the specified delivery date.
4.2 Where an order is delayed Siga will update the Customer within reasonable time.
4.3 Unless otherwise specified, orders for delivery within the United Kingdom will be delivered FCA (Incoterms 2000) at Customer’s facility
4.4 Carriage from Siga’s site or Siga’s supplier’s site to Customer’s site shall be at Customer’s cost.
4.5 The cost of insurance and special packaging, if any, will be charged in addition to the price quoted for the goods.
5. Export delivery:
5.1 Unless otherwise specified, for all orders for delivery outside the United Kingdom the cost of export packaging (if required), dock and airport charges, port rates and customs entry, freight, insurance, agency fees and other charges which may be incurred are chargeable to the Customer.
5.2 The Customer shall be responsible for complying with any legislation or regulations governing the importation of the goods into the country of destination and for the payment of any duties thereon.
5.3 Certain Goods imported from the United States of America are subject to specific restrictions. With respect to goods manufactured in or originating from the United States, the Customer agrees to comply with all applicable export laws, restrictions and regulations of the United States or foreign agencies or authorities and shall not import, export or transfer for the purpose of re-export, any product to any prohibited or embargoed country or to any denied, blocked, or designated person or entity as mentioned in any such U.S. or foreign law or regulation.
5.4 The International freight charge will be based on the weight and volume of the order and the delivery area. Siga’s system will select various carriage methods and offer the Customer a guide prices based on speed and price. The guide price is an estimate and a confirmed carriage charge will be emailed for Customer’s approval before the order is processed.
5.5 Price of goods excludes charges for export documentation. Any Export documentation must be requested in writing at the time of order placement.
5.6 Freight from Siga’s site or Siga’s supplier’s site to Customer’s site shall be at Customer’s cost.
5.7 The cost of insurance and special packaging, if any, will be charged in addition to the price quoted for the goods.
6. Warranties and Liability
6.1 Subject to fair wear and tear, and the due observance of any installation, user, storage, operating or maintenance instructions Siga undertakes to replace or at its option repair free of charge to the Customer any goods which the Customer can establish are defective by reason of defective workmanship or materials and which are returned to Siga carriage paid within warranty timescale, usually 12 months.
6.2 This obligation will not apply:
- if the defect arises because the Customer has altered or repaired such Goods without the written consent of Siga;
- because the Customer did not follow the manufacturer’s instructions for storage, usage, installation, use or maintenance of the Goods;
- if the Customer has failed to notify Siga of any defect where the defect should have been reasonably apparent on reasonable inspection; or
- if the Customer fails to notify Siga of the defect within 12 months (or such other period as Siga shall specify at the time of acceptance of the order for the Supplies) of the date of despatch of the Goods
6.3 The Customer must inspect the Supplies as soon as is reasonably practicable after delivery or, Siga shall not be liable for any defect in the Supplies unless written notice is given to Siga within 10 days of the date of delivery of goods by the Customer.
6.4 No warranty is given that the goods are suitable for any particular or special purposes or for use in connection with any equipment unless expressly given in writing by the Siga.
6.5 To the fullest extent permitted by law, Siga hereby excludes liability in tort to the Customer or to any third party. The Customer hereby represents that it is a competent user of the class of goods to be supplied hereunder, that it has satisfied or is able to satisfy itself that the goods are safe to use, and that it will institute a safe system of working for the use of goods. The Customer shall indemnify Siga against any claim by any third party that that third party (or any fourth party on whose behalf the third party is acting) has suffered any loss, damage, personal injury or death by reason of or resulting from any negligence by Siga or any defect in the design, specification or manufacture of the goods.
6.6 Siga shall not in any event be liable for any loss of profit or other financial or consequential loss whenever and however caused or arising in respect of goods supplied by Siga. Subject to the previous paragraph, Siga’s liability for any loss or damage to property whatsoever shall be limited to the refund of the price paid for the Supplies or, at the Siga’s option, the supply of replacement Supplies which are sufficient and suitable. This limitation of Siga’s liability shall apply whether such damage or loss shall arise from any breach of this contract or from any breach of any condition or warranty implied by law or custom, or from misrepresentation by or the negligence of Siga, its employees or agents.
6.7 The quantity of any consignment of Goods, as recorded by Siga or Siga’s suppliers upon despatch from Siga or Siga’s supplier’s place of business, shall be conclusive evidence of the quantity received by the Customer on delivery, unless the Customer can provide conclusive evidence to the contrary. Claims for shortages, must be made in writing within 10 days of receipt of the goods.
6.8 Siga will not be liable for any non-delivery of Goods unless written notice is given to Siga within 10 days of the date when Goods should have been delivered.
6.9 The liability of Siga for non-delivery will be limited to replacing the Goods within a reasonable time or to refunding the price then paid in respect of such Supplies.
6.10 Orders for Customer Specified / Special order non website products cannot be cancelled or refunded and the Customer shall remain liable for the full purchase price.
7. Returns and Cancellations
7.1 The Customer may not cancel orders once accepted by Siga. Siga may, at its discretion and in writing, allow an order to be cancelled subject to Siga recovering from the Customer the costs incurred by Siga.
7.2 Siga reserves the right to recover from the Customer any costs and expenses incurred up to the date of cancellation and may be subject to a minimum restocking fee of 30% of the invoice value of the Goods or £10, whichever is the greater.
7.3 Goods returned as ‘unwanted’ or ‘incorrectly ordered’ may be accepted at the discretion of Siga but may be subject to a minimum restocking fee of 30% of the invoice value of the Goods or £10, whichever is the greater.
7.4 The Customer may only return products to Siga, and receive a credit or refund, on the following conditions:
- The Customer must contact Siga in writing prior to the return of any products and obtain the prior consent of Siga and obtain a returns number (to be quoted on all returned paperwork)and delivery address
- Deliveries made without a returns number or without confirmation of delivery address from Siga will be rejected. Siga does not take any liability for costs incurred by the Customer due to this.
- Return must be made within 30 days of despatch of goods to the Customer.
- Products must be returned to Siga in their original condition and packaging and in a condition which will enable them to be immediately fit for re-sale. All Goods are returned at the Customer’s risk and expense and should be undamaged by the Customer and in their original packaging. The Customer is responsible for returning Goods to Siga and for providing proof of delivery of such return.
- Until the goods have arrived safely, all liabilities, including carriage, packing and insurance, remain with the Customer for any item sent to Siga. If the Customer has insured the goods and wishes to be informed of any damage in transit Siga must be notified and given details of their condition on despatch.
7.5 Orders for Customer Specified / Special order non website products cannot be cancelled or refunded and the Customer shall remain liable for the full purchase price.
8. Force Majeure
8.1 If Siga is prevented or restricted from carrying out all or any of its obligations under these terms and conditions of sale by reason of any force majeure event (act of God, fire, riot, strikes, lockout, any act of terrorism, or any cause beyond the control of Siga), then Siga shall be relieved of its obligations during the period that such event continues, and shall not be liable for any delay and/or failure in the performance of its obligations during such period. If the force majeure event continues for a period longer than fourteen days, Siga may cancel the affected order or cancel the whole or any part of these terms and conditions of sale, without any liability to the Customer.
